The VCC Bill was passed in Parliament on 1 October 2018. It is expected to come into effect in 2019 following the legislative process. The new VCC framework is intended to offer asset managers in Singapore greater flexibility and lower costs by providing new structuring options for investment funds.

This session will include a brief recap of the original proposal in 2017, followed by a comprehensive update on MAS’ response and first reading of the Variable Capital Companies (VCC) Bill on 10 September 2018. HAN MING HO is a partner and co-head of Sidley’s Asia Investment Funds practice and is based in Singapore. He focuses on fund formation of open-ended and close-ended entities and related regulatory matters as well as regularly advises fund managers on the establishment of business operations in Singapore, together with the establishment, structuring and registration of investment funds in Singapore and various other Asia-Pacific jurisdictions.

He is also the Asia-Pacific Board (Council) Director and Singapore National Group Chairman of AIMA (Alternative Investment Management Association), a member of the Advocacy Committee of SVCA (Singapore Venture Capital & Private Equity Association), a member of the Regulatory Committee of IMAS (Investment Management Association of Singapore) and a member of the Fund Management Working Group, IBF (The Institute of Banking & Finance).

Louisa has more than 17 years of experience as a tax advisor. She has been involved in many international advisory projects and assignments across various industries in the financial services sector, ranging from banking and capital markets, as well as investment management

She is actively involved in advising these institutions (including large multi-national corporations and financial institutions) on cross-border tax implications including mergers and acquisitions, corporate restructuring, outbound and inbound investments, fund management and transfer pricing. Louisa’s past and present clients include a broad mix of traditional and alternative investment funds, including many of the industry’s leading names. Louisa has a particular focus on working with inbound asset managers in Singapore’s expanding fund management industry, in particular within the real estate and private equity space.
