Venture capital investments are pouring into Singapore and the rest of Southeast Asia, with the promise of greater returns and untapped potential. The region’s start-up ecosystem is maturing at a never-before-seen pace. With this as the backdrop, a growing need arose for deals to be structured faster and completed more cost-efficiently. Enter the Venture Capital Investment Model Agreements (“VIMA”), launched by the Singapore Academy of Law and the Singapore Venture Capital and Private Equity Association in October 2018.
Join us to learn the background and objectives of VIMA, and have a walkthrough of the suite of VIMA documents (highlighting points of note and key issues), before concluding with some thoughts on VIMA from a practitioner’s perspective. Nicholas has acted for clients in connection with various matters with a particular emphasis on private mergers and acquisitions (joint ventures, private equity and venture capital work). He was admitted as an Advocate and Solicitor of the Supreme Court of Singapore in August 2014, and acted as a facilitator for the Singapore Legal Institute of Legal Education Part B Course from 2016 to 2018. Nicholas completed a 6-month secondment with Slaughter & May Hong Kong in the Corporate Department in 2018. Director of Portfolio Strategy and Operations, Golden Gate Ventures
Angela Toy is Director of Portfolio Strategy and Operations at Golden Gate Ventures, a venture capital firm investing in early stage internet and mobile related companies in Southeast Asia. Angela has worked in financial institutions in areas ranging from audit assurance, regulatory compliance, sales and broking before venturing to start her own e-commerce business. The startup experience then led on to her joining Golden Gate Ventures in 2014, helping the firm with fund operations and deal executions. Currently, she assists the Partners with the overall management of the 40+ companies in the portfolio.
Thaddeus Koh is the Co-Founder of E27 and also the company's Chief Operations and Finance Director. He is also an NUS Overseas Colleges Silicon Valley alumni where he worked at the startup, Cataphora, and received his minor in Technopreneurship at the Stanford Centre for Professional Development. He was integral to E27's funding of US$615K by strategic investors, and he has contributed to the capabilities and value of Echelon through creation of Investor Kit & Tech Alley. He has travelled extensively in SE Asia and East Asia listening to more than 200 tech startups pitches that are participating on the Echelon platform each year.
Venture Principal, Vickers Ventures
Mr. Joel Shen joined Vickers as a Venture Principal in 2017. He is a corporate lawyer based in Jakarta and Singapore. He is currently on secondment as foreign counsel to Christian Teo & Partners, the Indonesian associated office of international law firm Stephenson Harwood and a leading, full-service Indonesian law firm, where he heads the Technology and Growth Capital Practice Group. Joel is a Recommended Lawyer for Corporate M&A and has an impressive track record in the technology and digital sectors, where he advises multinationals, venture capital investors and technology startups on a range of matters, from establishment through to exit and all the stages of funding in between.
